Market Comparables from 2Q 2010 SEC Filings Now Available in ktMINE


Chicago, IL, August 10, 2010– ktMINE, an intellectual property (IP) data and information services firm, today announced that ktMINE’s Royalty Rates and Records Database now contains IP licensing records filed with the SEC during the second quarter (2Q) of 2010. ktMINE provides IP data, documents and analysis tools aggregated from publicly available records.

From the thousands of records filed with the SEC during 2Q, ktMINE identified and added 88 material contracts that contained non-redacted royalty rates. These records represent 35 industries, with a heavy concentration in Computer Hardware and Software, Biotechnology, Consumer Services, Healthcare Pharmaceuticals, Healthcare Products and Supplies, Business Services, and Consumer Durables.

The effective dates of the newly-added records range from June 29, 1995 to June 21, 2010, with 61% of the agreements containing effective dates between 2009 and 2010.

Market Comparables from 1Q 2010 SEC Filings Now Available in ktMINE


Chicago, IL, June 09, 2010– ktMINE, an intellectual property (IP) data and information services firm, today announced that ktMINE’s Royalty Rates and Records Database now contains IP licensing records filed with the SEC during the first quarter (1Q) of 2010. ktMINE provides IP data, documents and analysis tools aggregated from publicly available records.

From the thousands of records filed with the SEC during 1Q, ktMINE identified and added 74 material contracts that contained non-redacted royalty rates. These records represent more than 35 industries, with a heavy concentration in healthcare, biotechnology, business services, consumer services, computer hardware and software, and internet IP licensing.

The effective dates of the newly-added records range from 1993 to March 29, 2010, with 70% of the agreements containing effective dates between 2009 and 2010.

ktMINE Streamlines Franchise Agreement Searches

May 26, 2010, Chicago, IL – ktMINE, an intellectual property (IP) data and information services firm, today announced that the ktMINE Royalty Rates and Records Database now includes more than 900 franchise agreements. ktMINE provides IP data, documents and analysis tools aggregated from publicly available records.  

Franchise agreements with usable payment data can be very difficult to obtain.  Many franchises are not publicly traded and therefore are not required to file agreements with the SEC, one of the largest public resources for material contracts.  Franchises that do file agreements with the SEC often post documents with redacted royalty rates and payment terms, as fully disclosing this information could make them vulnerable to competitors.  

Given the scarcity of usable franchise agreement data on the SEC, ktMINE developed custom technology and algorithms to seek out franchise agreements across a wider array of public sources.   If an analyst tried to replicate this search process, it could be exponentially time-consuming and costly in comparison with ktMINE’s speed, depth and breadth in mining the public domain.

ktMINE Launches New Website with Focus on Global Audience

May 7, 2010, Chicago, IL – ktMINE, an intellectual property (IP) data and information services firm, today announced that it has updated its website to provide greater context to the global marketplace searching for accurate and defensible IP licensing information. The new website was designed to help visitors across the world, and across industries, quickly learn how ktMINE’s IP licensing documents and data can support their specific needs.

The new site includes a ktMINE Worldwide section highlighting how professionals from Toronto to Tokyo use ktMINE in accordance with their country’s market dynamics and regulatory mandates. It also includes an Industry Uses section that details how practitioners in the business valuation, transfer pricing, M&A, expert witness, IP law and litigation and technology transfer professions use ktMINE to research royalty rates and records for initiatives such as purchase price allocations, balance sheet solvency tests, and damages/infringement calculations.

ktMINE Streamlines Sales Agent Agreement Searches

April 29, 2010, Chicago, IL – ktMINE, a data and information services firm, today announced that the ktMINE Royalty Rates and Records Database now includes more than 150 sales agent agreements.

ktMINE provides intellectual property (IP) data, documents and analysis tools aggregated from publicly available records.  The majority of ktMINE's records are IP license agreements sourced from publicly available sources.

Historically, sales agent agreements have been extremely hard to find.  The largest source for these is the SEC database, which includes sales agent agreements among the wide array of documents filed publicly by organizations in compliance with federal regulations.  

Therein lies the issue.  “The SEC database is an amazing source of IP data and documents, but its search filters are extremely broad,” states David Jarczyk, COO of ktMINE. “Sales agents operate across every industry.  So, in order to locate sales agent agreements in the SEC database, a searcher would need to sift through millions of documents.”

ktMINE uses a combination of custom developed technology and algorithms to locate specific IP documents quickly and precisely from public sources such as the SEC.  Then each document is reviewed by ktMINE’s analyst team to ensure the record is defensible (non-redacted and from a material contract) and to capture and categorize all key licensing terms. Sales agent agreements are categorized under ktMINE’s Service Agreement Type.
